Terms of Service

Preamble

WHEREAS Antria Newsome ("Merchant") operates an online retail store at npd4he-f2.myshopify.com (the "Store") for the sale of clothing and accessories to consumers in the United States;

WHEREAS the Store is hosted on the Shopify commerce platform and payment is processed through providers integrated with that platform;

WHEREAS any person who accesses the Store or places an order thereon (the "Customer") is entering into a commercial relationship with the Merchant;

WHEREAS the parties wish to set forth the terms upon which such a relationship shall be governed;

NOW, THEREFORE, in consideration of the mutual promises set forth below, the parties agree as follows:


Article I — Definitions

1.1 "Merchant" means Antria Newsome, a business based in the United States. 1.2 "Customer," "you," or "your" means any person accessing the Store or placing an Order. 1.3 "Store" means npd4he-f2.myshopify.com and all products offered through it. 1.4 "Order" means a completed purchase transaction between the Merchant and the Customer. 1.5 "Terms" means this document and any policy incorporated herein by reference.

Article II — Eligibility

2.1 The Customer represents and warrants that they are at least eighteen (18) years of age, or acting with the permission of a parent or legal guardian. 2.2 The Customer represents and warrants that they are legally capable of entering into a binding agreement under United States law.

Article III — Account

3.1 Where the Store permits account registration, the Customer shall be solely responsible for the confidentiality of the credentials and for all activity conducted under the account. 3.2 The Customer shall promptly notify the Merchant of any suspected unauthorized access, at eloquence2000@outlook.com or +1 530-921-0210.

Article IV — Formation of Contract

4.1 A submitted Order shall constitute the Customer's offer to purchase at the prices and terms displayed at checkout. 4.2 Acceptance by the Merchant shall occur upon the dispatch of the Order confirmation email; prior to that moment, no binding contract shall exist. 4.3 The Merchant reserves the right to decline any Order prior to acceptance for reasons including but not limited to:

  • (a) unavailability of the item ordered;
  • (b) a material error in price or description;
  • (c) suspected fraud;
  • (d) breach of these Terms.

4.4 Where an Order for which payment has been received is declined or cancelled by the Merchant, a full refund shall be issued to the Customer's original method of payment.

Article V — Pricing and Payment

5.1 All prices shall be stated in United States Dollars (USD) and shall be subject to change without prior notice. 5.2 The price displayed at checkout shall be the price applicable to that specific Order. 5.3 Payment shall be due at checkout through the payment methods offered on the Store. 5.4 Where a product is displayed under a manifestly incorrect price, the Merchant reserves the right to cancel the affected Order rather than fulfill it at the erroneous price, with a full refund issued.

Article VI — Shipping, Returns, and Refunds

6.1 The terms governing shipping are set forth in the Merchant's Shipping Policy. 6.2 The terms governing returns and refunds are set forth in the Merchant's Return and Refund Policy. 6.3 Each is incorporated into these Terms by reference and shall apply in full to every Order.

Article VII — Product Representations

7.1 The Merchant shall describe each product as accurately as reasonably possible. 7.2 Minor variations in color, finish, or measurement — arising particularly from screen calibration or the nature of textile materials — shall not constitute a defect.

Article VIII — Intellectual Property

8.1 All content appearing on the Store — including but not limited to text, photographs, illustrations, graphic design, video, source code, layout, and the "Antria Newsome" name and any associated identifying marks — is the property of the Merchant or used under license, and is protected by United States copyright, trademark, and other applicable intellectual property laws.

8.2 Without prior written consent of the Merchant, the Customer shall not:

  • (a) reproduce, distribute, or commercially exploit any content;
  • (b) use the Merchant's imagery or brand assets in a third-party business;
  • (c) scrape, mirror, or systematically extract any portion of the Store;
  • (d) modify, decompile, or reverse-engineer any component of the Store.

Article IX — Acceptable Use

9.1 The Customer shall not use the Store:

  • (a) for any unlawful or fraudulent purpose;
  • (b) in a manner that compromises the security or availability of the Store;
  • (c) to transmit malware, viruses, or other harmful code;
  • (d) to employ bots, scrapers, or other automated tools without authorization;
  • (e) to impersonate any person or misrepresent affiliation.

9.2 Breach of Section 9.1 shall entitle the Merchant to suspend or terminate access without notice.

Article X — Disclaimer of Warranties

10.1 The Store and all products offered thereon are provided on an "as is" and "as available" basis. 10.2 To the fullest extent permitted by United States law, the Merchant disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. 10.3 The Customer's statutory consumer rights shall remain unaffected by this Article.

Article XI — Limitation of Liability

11.1 The Merchant's aggregate liability arising out of or in connection with any Order shall in no event exceed the amount paid by the Customer for the product giving rise to the claim. 11.2 In no event shall the Merchant be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

Article XII — Termination

12.1 The Merchant reserves the right to suspend or terminate the Customer's access to the Store, with or without notice, for any breach of these Terms.

Article XIII — Governing Law and Jurisdiction

13.1 These Terms shall be governed by the laws of the United States and by the laws of the state in which the Merchant's business is registered, without regard to conflict-of-law principles. 13.2 Any legal proceeding arising out of or relating to these Terms shall be brought exclusively in the appropriate state or federal courts of that jurisdiction, and the Customer hereby consents to such jurisdiction.

Article XIV — Amendments

14.1 The Merchant reserves the right to amend these Terms from time to time. 14.2 Amendments shall take effect immediately upon publication. 14.3 Continued use of the Store following an amendment shall constitute the Customer's acceptance of the revised Terms.

Article XV — Notices

15.1 Any notice to the Merchant shall be sent to eloquence2000@outlook.com.

IN WITNESS WHEREOF, by using the Store or placing an Order, the Customer acknowledges having read and accepted these Terms in full.
